For purposes of these Master Terms of Service, the following definitions apply:
"Agreement" means these Master Terms of Service together with any proposal, estimate, statement of work, invoice, managed services agreement, subscription agreement, purchase order accepted by Connected Geek, or any other written agreement between the parties.
"Connected Geek," "Company," "we," "our," or "us" means Connected Geek, LLC.
"Client," "Customer," "you," or "your" means the individual, business, nonprofit organization, educational institution, government entity, or other organization purchasing or receiving products or services from Connected Geek.
"Services" means any professional, technical, consulting, managed, hosted, subscription, communications, AI, CRM, website, cloud, cybersecurity, or other products or services provided by Connected Geek.
"Deliverables" means any work product produced by Connected Geek, including reports, documentation, configurations, websites, automation workflows, software configurations, AI implementations, training materials, or other project-specific deliverables.
"Managed Services" means recurring technology services provided under a subscription, Managed Services Agreement (MSA), service plan, or similar agreement.
"Third-Party Provider" means any vendor, manufacturer, cloud provider, software publisher, telecommunications carrier, payment processor, domain registrar, hosting company, Internet service provider, or other organization whose products or services are incorporated into or used in connection with Connected Geek's Services.
"Business Day" means Monday through Friday, excluding federal holidays observed in the State of Michigan unless otherwise specified in writing.
These Master Terms of Service govern all products and services provided by Connected Geek, LLC.
By requesting services, approving a proposal or estimate, signing an agreement, placing an order, submitting payment, accessing a Connected Geek website or client portal, using a Connected Geek-managed system, or otherwise engaging Connected Geek, the Client acknowledges that they have read, understood, and agree to be bound by these Terms.
These Terms apply to all current and future products and services provided by Connected Geek unless superseded by a separate written agreement signed by both parties.
If any provision of these Terms conflicts with a separately executed written agreement, the terms of that written agreement shall control only with respect to the specific subject matter addressed therein. All remaining provisions of these Terms shall remain in full force and effect.
Connected Geek provides a broad range of professional technology services for residential, commercial, nonprofit, educational, and governmental clients.
Services may include, but are not limited to:
Managed IT Services
Computer repair and technical support
Network, firewall, wireless, and cybersecurity services
Microsoft 365 administration and cloud services
Backup and disaster recovery solutions
CRM Connect implementation, consulting, and support
Customer relationship management (CRM) systems
Artificial Intelligence (AI) consulting and implementation
Voice AI solutions
Business automation and workflow development
Website design, development, hosting, and maintenance
Domain registration and DNS management
Email services
SMS, voice, and communications services
Audio/visual production and live streaming
Technology consulting
Project management
Training and documentation
Hardware, software, subscriptions, and licensing
Other technology-related products and professional services
Specific deliverables, pricing, timelines, and responsibilities for each engagement will be identified in the applicable proposal, estimate, Statement of Work (SOW), Managed Services Agreement (MSA), subscription agreement, invoice, or other written authorization.
Unless expressly stated otherwise in writing, no service shall be interpreted to include work outside the agreed scope.
Connected Geek will perform only those Services specifically identified in the applicable agreement or approved request.
Technology projects frequently evolve as additional information becomes available. Requests that materially expand the original scope—including additional features, integrations, consulting, revisions, travel, equipment, or implementation work—may require:
A revised proposal or estimate
A written change order
Additional fees
An updated project schedule
Connected Geek is under no obligation to perform work outside the agreed scope until the revised scope and associated costs have been approved.
Reasonable recommendations made during a project do not automatically become part of the agreed scope unless expressly accepted by both parties.
The Client agrees to cooperate with Connected Geek throughout the engagement and to provide all information, approvals, access, and resources reasonably necessary for Connected Geek to perform the requested Services.
The Client is responsible for:
Providing timely access to systems, equipment, facilities, and accounts
Providing accurate and current information
Maintaining valid software licenses unless otherwise agreed
Designating authorized decision-makers
Reviewing and approving deliverables in a timely manner
Maintaining adequate backups unless backup services are included in writing
Following reasonable cybersecurity recommendations
Protecting passwords and authentication credentials
Promptly reporting suspected security incidents
Maintaining compliance with applicable laws and regulations
Providing a safe working environment for onsite services
Delays caused by incomplete information, unavailable personnel, failure to provide access, delayed approvals, or other Client actions may affect project schedules and may result in additional charges.
Connected Geek shall not be responsible for delays or increased costs resulting from the Client's failure to fulfill these responsibilities.
Connected Geek performs Services as an independent contractor.
Nothing contained in these Terms shall be interpreted as creating:
An employer-employee relationship
A partnership
A joint venture
An agency relationship
A fiduciary relationship
Neither party has authority to bind or obligate the other except as expressly provided in a written agreement.
The Client agrees to pay all fees associated with the products and services provided by Connected Geek.
Charges may include, but are not limited to:
Hourly labor
Flat-rate services
Project-based services
Managed Services
Monthly subscriptions
Software licensing
Hardware and equipment
Cloud services
Third-party products and subscriptions
Travel expenses
Shipping and handling
Applicable taxes
Unless otherwise stated in writing, all pricing is quoted in United States Dollars (USD).
Estimates and quotations are provided in good faith based upon the information available at the time they are prepared.
Unless otherwise stated, estimates are valid for thirty (30) calendar days.
Actual charges may differ if:
The scope of work changes.
Additional issues are discovered.
The Client requests additional services.
Third-party pricing changes.
Hardware or software availability changes.
Unforeseen technical conditions arise.
Connected Geek will make reasonable efforts to obtain Client approval before performing work that materially exceeds an approved estimate whenever practical.
Invoices are due according to the payment terms identified on the applicable invoice or agreement.
Unless otherwise stated in writing, invoices are due upon receipt.
Recurring services shall be billed according to the applicable subscription or Managed Services Agreement.
Connected Geek may require deposits for projects involving:
Equipment purchases
Website development
CRM implementations
AI implementations
Custom development
Special-order products
Large projects requiring significant upfront investment
Unless otherwise required by law or agreed to in writing, deposits become non-refundable once work has begun or materials have been ordered.
Invoices not paid when due may result in:
Late payment charges where permitted by law
Interest on overdue balances where permitted by law
Suspension of ongoing services
Suspension of hosted services
Suspension of subscription services
Suspension of CRM Connect services
Suspension of Managed Services
Collection activity
Connected Geek reserves the right to withhold project deliverables, administrative credentials, project completion, or future services until outstanding balances have been satisfied.
Returned checks, rejected ACH transactions, chargebacks, disputed credit card transactions, or other failed payments may be subject to additional processing fees.
The Client remains responsible for all unpaid balances associated with the original transaction.
The Client agrees to reimburse Connected Geek for reasonable costs incurred while collecting overdue balances, including collection agency fees, court costs, reasonable attorney fees where permitted by law, and other collection expenses.
Certain Connected Geek services are provided on a recurring subscription basis.

Help Desk Services
Remote Monitoring and Management (RMM)
Microsoft 365 Administration
Backup Monitoring
Cybersecurity Services
CRM Connect
Website Hosting
Email Hosting
Domain Management
Cloud Services
Voice AI Services
AI Services
Software Licensing
Other recurring technology services
Specific services included within a subscription shall be identified in the applicable Managed Services Agreement (MSA), subscription agreement, proposal, or service plan.
Connected Geek will use reasonable efforts to provide recurring services in accordance with the applicable agreement.
Because many services rely upon Internet connectivity and Third-Party Providers, uninterrupted availability cannot be guaranteed.
Temporary interruptions may occur due to:
Scheduled maintenance
Emergency maintenance
Software updates
Internet outages
Utility failures
Cybersecurity incidents
Vendor outages
Circumstances beyond Connected Geek's reasonable control
Where monitoring services are included, Connected Geek will monitor covered systems as described in the applicable service agreement.
Monitoring services do not guarantee that every hardware failure, cybersecurity event, performance issue, or software defect will be detected or prevented.
The Client remains responsible for promptly reporting issues requiring assistance.
To receive the full benefit of recurring services, the Client agrees to:
Maintain supported hardware whenever reasonably possible.
Maintain supported operating systems.
Allow required monitoring software to remain installed.
Maintain reliable Internet connectivity.
Cooperate with troubleshooting efforts.
Maintain required software licensing.
Follow reasonable cybersecurity recommendations.
Failure to meet these responsibilities may affect Connected Geek's ability to provide services efficiently.
Unless otherwise stated in writing:
Subscription fees are billed in advance.
Subscription services automatically renew.
Charges continue until properly cancelled.
Fees already earned are non-refundable except where required by law.
Technology continually evolves.
Connected Geek may modify available subscription plans, pricing, supported technologies, included features, or service offerings.
Whenever practical, reasonable notice will be provided before material changes affecting existing services become effective.
Connected Geek provides consulting, implementation, configuration, troubleshooting, project management, training, technical support, and other professional technology services.
Professional recommendations are based upon:
Industry best practices
Professional experience
Information reasonably available at the time
Manufacturer recommendations
Vendor documentation
The Client's stated objectives
Technology environments frequently change due to software updates, hardware failures, vendor modifications, cybersecurity threats, licensing changes, and evolving industry standards.
Accordingly, recommendations that are appropriate today may require future modification.
Connected Geek will perform professional services using reasonable care and professional judgment.
However, Connected Geek does not guarantee:
Increased revenue
Increased productivity
Increased profitability
Search engine rankings
Regulatory compliance
Elimination of cybersecurity risks
Elimination of software defects
Compatibility between every technology product
Achievement of any specific business objective
Project success frequently depends upon factors outside Connected Geek's control, including Client participation, vendor support, software changes, market conditions, user adoption, and regulatory requirements.
Training sessions, consultations, recommendations, and advisory services are educational and informational in nature.
Final business, financial, legal, operational, and regulatory decisions remain solely the responsibility of the Client.
Connected Geek recommends that Clients seek qualified legal, accounting, insurance, or other professional advice when decisions extend beyond the scope of technology consulting.
Connected Geek provides professional technology consulting, support, implementation, maintenance, repair, and managed services for residential, commercial, nonprofit, educational, and government clients.
Services may include, but are not limited to:
Computer repair and upgrades
Server installation and administration
Network design and support
Firewall implementation
Wireless networking
Cybersecurity consulting
Backup and disaster recovery
Cloud migrations
Microsoft 365 administration
Microsoft Azure services
Remote support
Onsite support
Technology assessments
Hardware procurement
Software installation and configuration
Services may be performed remotely, onsite, or through cloud-based management platforms.
Unless expressly stated in writing, Connected Geek does not guarantee that existing hardware, software, operating systems, or third-party applications will remain compatible following upgrades, patches, migrations, or vendor changes.
Connected Geek may decline to install, repair, configure, or support technology that is:
End-of-Life (EOL)
End-of-Support (EOS)
Counterfeit
Unlicensed
Compromised by malware
Unsafe
Unsupported by the manufacturer
Reasonably believed to create unacceptable operational or cybersecurity risk
Where practical, Connected Geek will recommend appropriate replacement or upgrade options.
Many services are performed remotely.
The Client acknowledges that successful remote support depends upon:
Reliable Internet connectivity
Functional remote access software
Compatible operating systems
Reasonable system performance
Certain repairs, hardware replacements, and diagnostic procedures may require onsite service or shipment of equipment.
CRM Connect is Connected Geek's customer relationship management (CRM), communications, marketing automation, and business operations platform.
Available functionality may include:
Contact Management
Opportunity and Pipeline Management
Appointment Scheduling
Workflow Automation
Email Marketing
SMS Messaging
Voice Communications
AI Features
Websites and Funnels
Forms and Surveys
Reputation Management
Payment Processing
Reporting and Analytics
Third-Party Integrations
Features available to each Client depend upon the subscription level, licensed services, and capabilities of underlying Third-Party Providers.
The Client retains ownership of all business information, customer information, communications, uploaded content, and records entered into CRM Connect.
Connected Geek may access Client information only as reasonably necessary to:
Configure services
Provide technical support
Troubleshoot issues
Perform authorized work
Comply with legal obligations
Connected Geek does not sell Client data.
The Client remains responsible for:
User account management
Password security
Reviewing automations
Testing workflows before production
Monitoring outbound communications
Compliance with applicable laws
Maintaining accurate account information
The Client is solely responsible for all communications sent using CRM Connect.
Connected Geek may provide consulting, implementation, customization, monitoring, support, and training for Artificial Intelligence ("AI") technologies.
AI-related services may include:
AI consulting
AI strategy development
AI agents
Voice AI
Prompt engineering
Knowledge base development
Workflow automation
AI-assisted customer service
AI integrations
Business process automation
Artificial intelligence systems generate responses using statistical models, available data, prompts, and machine learning algorithms.
AI-generated content may occasionally contain:
Inaccurate information
Incomplete information
Outdated information
Hallucinated content
Misinterpretations
Bias
Unexpected responses
Clients should independently review AI-generated content before relying upon it for legal, medical, financial, regulatory, employment, safety, or other significant decisions.
Connected Geek does not warrant that AI-generated content will always be accurate, complete, or appropriate for every circumstance.
Unless expressly agreed otherwise in writing, AI implementations provided by Connected Geek are intended to assist human decision-making—not replace it.
The Client remains solely responsible for reviewing AI-generated output before acting upon it.
AI technologies evolve rapidly.
Model behavior, pricing, APIs, usage limits, capabilities, licensing, and available features may change without notice by Third-Party Providers.
Connected Geek is not responsible for changes implemented by AI vendors after services have been delivered.
Connected Geek provides website development, hosting, maintenance, domain management, DNS management, landing pages, online forms, integrations, search engine optimization (SEO), and related digital services.
Specific deliverables, revisions, project schedules, and ownership rights shall be defined within the applicable proposal or Statement of Work.
The Client represents that all materials supplied to Connected Geek—including text, images, logos, videos, documents, trademarks, and other content—are owned by the Client or used with appropriate permission.
The Client agrees to indemnify Connected Geek against claims arising from materials supplied by the Client that infringe upon the rights of others.
Connected Geek will use reasonable efforts to maintain hosted services.
However, website availability may be affected by:
Hosting providers
Internet outages
Domain registrars
DNS propagation
Software updates
Cybersecurity incidents
Scheduled maintenance
Third-Party Providers
Connected Geek cannot guarantee uninterrupted availability of hosted services.
SEO recommendations are based upon generally accepted industry practices.
Connected Geek does not guarantee:
Specific search rankings
Search engine placement
Increased traffic
Increased sales
Increased conversions
Search engine algorithms are controlled by Third-Party Providers and may change without notice.
Connected Geek may provide communications services, including:
SMS messaging
MMS messaging
Voice services
AI voice communications
Appointment reminders
Marketing automation
Transactional notifications
Email communications
Call tracking
Call recording
Telecommunications integrations
Many communications services rely upon Third-Party Providers, including telecommunications carriers, messaging platforms, cloud providers, and Internet service providers.
The Client is solely responsible for ensuring that communications comply with all applicable laws, regulations, and industry requirements, including but not limited to:
Telephone Consumer Protection Act (TCPA)
CAN-SPAM Act
CTIA Messaging Principles and Best Practices
A2P 10DLC requirements
Carrier messaging policies
Applicable privacy laws
Industry-specific regulations
Connected Geek may provide guidance regarding compliance; however, legal compliance remains the Client's responsibility.
The Client agrees to obtain all legally required permissions, authorizations, and opt-in consent before sending:
SMS messages
MMS messages
Email marketing
Automated voice calls
AI voice communications
Prerecorded messages
Other regulated communications
Connected Geek reserves the right to suspend communications services where there is reasonable evidence of spam, fraud, abuse, unlawful activity, or violations of carrier or platform requirements.
Delivery of communications depends upon numerous factors outside Connected Geek's control, including:
Carrier acceptance
Recipient devices
Spam filtering
Internet connectivity
Platform availability
Third-Party Providers
Accordingly, Connected Geek does not guarantee:
Message delivery
Delivery speed
Delivery order
Recipient availability
Open rates
Click-through rates
Marketing performance
Many Connected Geek services rely upon products and services provided by independent Third-Party Providers.
Examples include:
Microsoft
OpenAI
Twilio
LeadConnector
GoHighLevel
Stripe
Cloudflare
Domain registrars
Hosting providers
Equipment manufacturers
Internet service providers
Telecommunications carriers
Payment processors
Connected Geek may recommend, configure, integrate, resell, or support these products; however, Connected Geek does not own or control them.
Accordingly, Connected Geek is not responsible for:
Vendor outages
API changes
Licensing modifications
Pricing changes
Feature changes
Product discontinuation
Security incidents
Manufacturer decisions
Carrier restrictions
Third-party service interruptions
Any warranties, service commitments, or support obligations remain solely the responsibility of the applicable Third-Party Provider unless expressly stated otherwise in writing by Connected Geek.
Connected Geek recognizes the importance of protecting Client information and employs reasonable administrative, technical, and physical safeguards appropriate to the services being provided.
However, no technology system, cloud platform, communications network, or security solution can guarantee complete protection against data loss, unauthorized access, cyberattacks, ransomware, hardware failure, software defects, human error, or other unforeseen events.
Unless expressly included within a written agreement, the Client remains solely responsible for maintaining current backups of all important data, including but not limited to:
Business records
Financial records
Customer information
Documents
Databases
Photographs
Videos
Software configurations
Any other electronic information
The Client should verify that backups are functioning properly and should periodically test restoration procedures.
If Connected Geek provides backup or disaster recovery services under a separate agreement, those services shall be governed by the applicable proposal, Statement of Work, or Managed Services Agreement.
Although Connected Geek will use commercially reasonable efforts to monitor and maintain backup services, Connected Geek cannot guarantee that every backup will complete successfully or that every file will always be recoverable.
Backup integrity may be affected by circumstances outside Connected Geek's control, including:
Hardware failure
Corrupted storage media
Software defects
Encryption by ransomware
Internet outages
Third-Party Provider failures
User error
Data recovery services are performed on a best-effort basis.
Connected Geek does not guarantee that deleted, corrupted, encrypted, damaged, or inaccessible data can be successfully recovered.
Each party agrees to protect confidential information received from the other party and to use such information solely for purposes reasonably necessary to perform the Services described under this Agreement.
Confidential information includes, but is not limited to:
Business information
Customer information
Financial information
Technical documentation
Security configurations
Passwords
Trade secrets
Proprietary processes
Software configurations
Marketing information
Business strategies
Any information reasonably understood to be confidential
Confidential information does not include information that:
Becomes publicly available through no fault of the receiving party;
Was lawfully known prior to disclosure;
Is independently developed without reference to the confidential information; or
Must be disclosed pursuant to a valid court order or legal requirement.
Connected Geek may disclose confidential information only to employees, contractors, or Third-Party Providers who require such access to perform authorized Services and who are bound by appropriate confidentiality obligations.
Unless otherwise agreed in writing, each party retains ownership of its pre-existing intellectual property.

Templates
Documentation
Processes
Scripts
Automation frameworks
Software tools
Training materials
Proprietary workflows
Internal systems
Know-how
The Client retains ownership of:
Business information
Logos
Trademarks
Branding
Customer information
Original content
Business processes
Proprietary materials supplied by the Client
Upon payment in full, the Client receives ownership or the applicable license to use project-specific deliverables created specifically for the Client, except where third-party licensing restrictions apply or the parties have agreed otherwise in writing.
Connected Geek reserves the right to reuse general knowledge, skills, experience, concepts, and techniques developed during the performance of Services, provided no Client confidential information is disclosed.
Connected Geek collects, uses, stores, and protects personal information in accordance with its Privacy Policy.
The current Privacy Policy is incorporated into these Terms by reference and is available on the Connected Geek website.
Where applicable, the Client is responsible for ensuring that its own privacy practices comply with applicable laws governing the collection and processing of personal information.
Connected Geek performs all Services using commercially reasonable care and generally accepted professional practices.
EXCEPT AS EXPRESSLY PROVIDED IN WRITING, ALL SERVICES, SOFTWARE, HARDWARE, DELIVERABLES, HOSTED SERVICES, AI SERVICES, CRM SERVICES, COMMUNICATIONS SERVICES, WEBSITES, AND RELATED PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONNECTED GEEK DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:
Merchantability
Fitness for a particular purpose
Non-infringement
Accuracy
Availability
Reliability
Compatibility
Continuous operation
Connected Geek does not warrant that:
Services will be uninterrupted;
Systems will always remain secure;
Software will be free of defects;
AI-generated content will always be accurate;
Third-Party Providers will maintain existing functionality;
Communications will always be delivered successfully; or
Every cybersecurity threat can be prevented.
To the fullest extent permitted by law, Connected Geek's total cumulative liability arising out of or relating to the Services shall not exceed the total amount actually paid by the Client to Connected Geek for the specific Services giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to liability.
Under no circumstances shall Connected Geek be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to:
Lost profits
Lost revenue
Loss of business opportunities
Loss of goodwill
Loss of data
Business interruption
Downtime
Loss of anticipated savings
Reputational harm
This limitation applies regardless of the legal theory asserted, including contract, negligence, tort, strict liability, or otherwise, even if Connected Geek has been advised of the possibility of such damages.
Some jurisdictions do not permit certain warranty disclaimers or limitations of liability. In such jurisdictions, these limitations shall apply only to the maximum extent permitted by applicable law.
The Client agrees to defend, indemnify, and hold harmless Connected Geek, LLC, its owners, officers, employees, contractors, affiliates, successors, and assigns from and against any claims, demands, liabilities, damages, losses, judgments, settlements, penalties, fines, costs, and expenses (including reasonable attorney fees) arising out of or relating to:
The Client's misuse of the Services;
The Client's violation of applicable laws or regulations;
Content, data, or materials supplied by the Client;
Unauthorized communications initiated by the Client;
Intellectual property infringement resulting from Client-provided materials;
The Client's negligent acts or omissions; or
The Client's breach of this Agreement.
Connected Geek shall promptly notify the Client of any claim subject to indemnification and shall reasonably cooperate in the defense of such claim.
Connected Geek maintains commercially reasonable business insurance appropriate to its operations.
The Client is responsible for maintaining appropriate insurance covering its own:
Business operations
Property
Equipment
Data
Cybersecurity risks
Business interruption
Professional activities
Connected Geek is not responsible for losses that would reasonably be covered by the Client's own insurance policies.
Either party may terminate recurring services in accordance with the termination provisions contained within the applicable agreement, Managed Services Agreement (MSA), subscription agreement, or Statement of Work.
If no separate agreement specifies a termination period, either party may terminate recurring services by providing thirty (30) days' written notice.
Connected Geek reserves the right to refuse any request for products or services that, in its reasonable judgment:
Violates applicable laws or regulations;
Presents an unreasonable safety, security, or legal risk;
Requires work outside Connected Geek's expertise, capabilities, or available resources;
Involves fraudulent, deceptive, abusive, or unethical activity;
Would violate the policies, terms, or acceptable use requirements of a Third-Party Provider; or
Is otherwise inconsistent with Connected Geek's business practices, professional standards, or core values.
Where appropriate, Connected Geek may recommend an alternative solution or refer the Client to another qualified service provider.
Connected Geek reserves the right to immediately suspend or terminate Services, with or without prior notice, if the Client:
Fails to make timely payment;
Violates these Terms;
Uses the Services for unlawful purposes;
Engages in abusive, fraudulent, threatening, or harassing conduct toward Connected Geek personnel;
Violates carrier, vendor, or Third-Party Provider policies;
Creates a security risk to Connected Geek, its personnel, systems, or other clients;
Provides false or misleading information in connection with the Services; or
Otherwise materially breaches this Agreement.
Termination or suspension of Services does not relieve the Client of responsibility for payment of Services performed, products ordered, subscriptions incurred, or other amounts owed prior to the effective date of termination.
Connected Geek shall not be liable for delays or failures in performance caused by circumstances beyond its reasonable control, including but not limited to:
Natural disasters
Fire
Flood
Severe weather
Pandemic
Epidemic
War
Terrorism
Civil unrest
Government action
Labor disputes
Utility failures
Internet outages
Cyberattacks
Vendor failures
Cloud provider outages
Supply chain disruptions
Acts of God
Performance shall be suspended for the duration of the Force Majeure event.
These Terms shall be governed by and interpreted under the laws of the State of Michigan, without regard to its conflict of law principles.
Any legal action arising from these Terms shall be brought in the state or federal courts having jurisdiction within the State of Michigan.
The parties consent to the jurisdiction of those courts.
The parties agree to make reasonable good-faith efforts to resolve disputes through informal discussions before initiating litigation.
Nothing in this section prevents either party from seeking temporary or emergency injunctive relief when necessary to protect its legal rights.
Formal notices required under these Terms shall be provided in writing and may be delivered by:
Certified U.S. Mail
National overnight courier
Personal delivery
Notices shall be deemed received:
Upon confirmed delivery for personal delivery;
On the delivery date shown by the carrier;
On the date electronic delivery is confirmed; or
Three (3) business days after mailing by certified mail.
The parties agree that electronic communications, electronic approvals, electronic signatures, emailed authorizations, online acceptance, invoices, proposals, Statements of Work, payment authorizations, and other electronic records may satisfy any legal requirement for a writing or signature to the fullest extent permitted by applicable law.
The Client may not assign or transfer this Agreement without the prior written consent of Connected Geek.
Connected Geek may assign this Agreement to a successor entity resulting from a merger, acquisition, sale of substantially all assets, or corporate reorganization.
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
The invalid provision shall be interpreted as closely as possible to reflect the original intent while complying with applicable law.
Failure by either party to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other provision.
Any waiver must be in writing and signed by the party granting the waiver.
The following provisions shall survive termination of this Agreement:
Payment obligations
Confidentiality
Intellectual Property
Warranty Disclaimer
Limitation of Liability
Indemnification
Governing Law
Dispute Resolution
Any other provision which, by its nature, is intended to survive termination.
These Master Terms of Service, together with any applicable proposal, estimate, Statement of Work, Managed Services Agreement, subscription agreement, invoice, or other written agreement, constitute the entire agreement between the parties regarding the Services provided by Connected Geek.
They supersede all prior discussions, negotiations, representations, or understandings relating to the same subject matter.
No modification of these Terms shall be effective unless made in writing by Connected Geek or otherwise published as an updated version on the Connected Geek website.
